  • Acceptance of Terms

Ketamine Therapy Wellness.com offers a variety of online resources—such as classified ads, forums, directories, and email services—collectively referred to as “the Service.” Your use of the Service signifies your agreement to these Terms of Use (“TOU”). By accessing or using the Service in any manner, you agree to be bound by these TOU.

Additionally, when using specific features of the Service, you agree to follow any applicable guidelines that may be posted, which are subject to change at any time. If you do not agree with any part of the TOU, the posted guidelines, or any future updates, or if you are dissatisfied with the Service, your sole remedy is to stop using the Service immediately.

  1. Modifications to This Agreement

We reserve the right, at our sole discretion, to update, modify, or change these Terms and Conditions at any time. Any such changes will take effect immediately upon being posted. It is your responsibility to review this agreement regularly to stay informed of any updates.

  1. Eligibility for Use

Certain areas of the Ketamine Therapy Wellness Service are reserved exclusively for professional buyers, sellers, collectors, and resellers of items and accessories, as determined solely at Ketamine Therapy Wellness’s discretion. While we strive to restrict access to these sections to qualified professionals, Ketamine Therapy Wellness does not guarantee the effectiveness of any screening process. Accordingly, we are not liable for any failure to prevent non-qualified users from accessing or using these parts of the Service.

  1. Content

You acknowledge that all advertisements, posts, messages, text, files, images, photos, videos, sounds, or other materials (“Content”) made available through the Service are the sole responsibility of the individual from whom such Content originates. This means you are entirely responsible for any Content you post, email, or otherwise make available via the Service.

If you request Ketamine Therapy Wellness’s assistance in posting Content, consent (explicit or implied) to having Content posted on your behalf, or fail to notify us that Content should be removed, you remain fully responsible for that Content.

By posting any images or personal information on Ketamine Therapy Wellness, you waive any claims related to rights of publicity for your image or likeness worldwide.

Ketamine Therapy Wellness does not control and is not responsible for user-generated Content. By using the Service, you understand you may be exposed to Content that is inaccurate, offensive, indecent, misleading, or otherwise objectionable. You agree that your use of such Content is at your own risk and that Ketamine Therapy Wellness is not liable for any loss or damage resulting from your use or reliance on any Content.

By submitting Content to the Service, you grant Ketamine Therapy Wellness an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, display, perform, modify, distribute, translate, excerpt, and create derivative works from your Content for any purpose related to the Service or its promotion.

The Service may also contain links to third-party websites that are not affiliated with Ketamine Therapy Wellness. We make no representations regarding the accuracy or authenticity of information found on such sites, and visiting these sites is done at your own discretion and risk.

Finally, while Ketamine Therapy Wellness does not pre-screen or approve the Content, we reserve the right (but are not obligated) to refuse, remove, or relocate any Content at our sole discretion, whether for violating these Terms or for any other reason.

  1. Third-Party Content, Sites, and Services

The Ketamine Therapy Wellness Service may include links to or features that provide access to third-party content, websites, directories, servers, networks, systems, databases, applications, software, products, services, and other resources across the Internet. These third-party elements are entirely independent of Ketamine Therapy Wellness.

Any interactions, transactions, or communications between you and third-party individuals or organizations found through the Service—including payment, delivery of goods or services, and any related terms, warranties, or representations—are solely between you and those third parties. It is your responsibility to conduct any research or due diligence you deem necessary before engaging in such interactions.

Ketamine Therapy Wellness does not guarantee the quality, safety, legality, or accuracy of third-party content, goods, or services. We also do not verify the rights of sellers to offer goods or services, nor the ability of buyers to complete purchases. The Service is intended for informed buyers who understand that items offered are typically pre-owned unless explicitly stated otherwise, may not be in perfect condition, and may require repairs or additional information not provided in the listing.

We are not liable for any loss, damage, or dispute that arises from dealings between users or with third parties. If a dispute occurs between you and another user—or any third party—you agree that Ketamine Therapy Wellness has no obligation to intervene. By using the Service, you release Ketamine Therapy Wellness and its affiliates, officers, employees, agents, and successors from all claims, demands, and damages (known or unknown) that may arise out of such disputes.

  1. Notification of Claims of Infringement

If you believe your copyrighted work or other intellectual property rights have been infringed upon through the Service, please notify our designated agent at:

Your notice (“Notice”) must include the following information:

  • A clear identification of the material on Ketamine Therapy Wellness that you believe is infringing, with enough detail for us to locate it on the site.

  • Your full name, address, phone number, and email address.

Upon receipt of a valid Notice, Ketamine Therapy Wellness will take appropriate actions as required by law, which may include removal of the infringing content.

  1. Privacy and Information Disclosure

Ketamine Therapy Wellness reserves the right, in its sole discretion, to preserve and/or disclose any user-submitted content (“Content”) and related user information, including but not limited to email addresses, IP addresses, timestamps, and any other identifying data, as may be necessary to comply with applicable laws, regulations, legal processes, or governmental requests, or to protect the rights, property, and safety of Ketamine Therapy Wellness, its users, or the public. The collection, use, and disclosure of personal information are further governed by the Ketamine Therapy Wellness Privacy Policy, which is hereby incorporated by reference into these Terms.

  1. User Conduct

You agree to use the Service in compliance with all applicable laws and regulations and not to post, transmit, or otherwise make available any Content that:

  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, invasive of another’s privacy, or otherwise objectionable.
  • Is pornographic or includes imagery that depicts or implies sexual conduct or exposure of sexual organs inappropriate for the nature of the Service.
  • Harasses, degrades, intimidates, or expresses hatred toward any individual or group based on religion, gender, sexual orientation, race, ethnicity, age, or disability.
  • Expresses or implies any preference, limitation, or discrimination that violates federal, state, or local fair housing or anti-discrimination laws.
  • Violates any employment-related anti-discrimination laws, including expressing preferences or requirements based on protected characteristics such as race, color, religion, sex, national origin, age, or disability.
  • For employers with four or more employees, violates the anti-discrimination provisions of the Immigration and Nationality Act by, for example, requiring U.S. citizenship or permanent residency unless such requirement is mandated by law or government contract.
  • Impersonate any person or entity, including but not limited to a Ketamine Therapy Wellness representative, or misrepresents your affiliation with any person or organization (excluding lawful parody of public figures).
  • It contains personal or identifying information about another individual without their explicit, informed consent.
  • Is fraudulent, deceptive, misleading, or constitutes a “bait and switch” tactic.
  • Infringes upon any third-party intellectual property or proprietary rights, including but not limited to copyrights, trademarks, patents, or trade secrets.
  • Constitutes or promotes affiliate marketing, spam, unsolicited commercial communications, chain letters, pyramid schemes, or similar solicitations.
  • Contains advertising or promotional material posted in areas of the Service not expressly designated for such use or directed to users without their prior written consent.
  • Advertises or promotes illegal activities or the sale of items that are prohibited or restricted under applicable laws.
  • It contains viruses, malicious code, or any program designed to disrupt, damage, or interfere with software, hardware, or telecommunications systems.
  • Disrupts normal communications or dialogue within the Service through excessive postings or other forms of “flooding”;
  • Uses forged headers or other misleading identifiers to disguise the origin of any Content transmitted via the Service.

Additionally, you agree not to:

  • Contact individuals who have requested not to be contacted.
  • Stalk, harass, or intimidate any user of the Service.
  • Collect, harvest, or use personal information about other users for commercial, marketing, or unlawful purposes.
  • Use automated systems (e.g., bots, spiders, scrapers) to access or collect data from the Service without express written permission.
  • Post irrelevant or repetitive Content or otherwise place an undue burden on the infrastructure of the Service.
  • Submit duplicate listings in multiple categories or forums.
  • Attempt to gain unauthorized access to Ketamine Therapy Wellness’s systems, data, or networks.
  • Use any software or automated tools to submit Content without manual input by the actual author, including but not limited to auto-posting programs or bulk submission tools.

Violation of any of the above may result in the suspension or termination of your access to the Service, in addition to any other legal or equitable remedies available to Ketamine Therapy Wellness.

  1. Posting Agents

A “Posting Agent” is defined as any third-party agent, service provider, or intermediary that submits Content to the Service on behalf of another individual or entity. The use of Posting Agents is strictly prohibited without the prior express written consent or a valid license agreement issued by Ketamine Therapy Wellness. Posting Agents are not authorized to post Content, facilitate the posting of Content, or access the Service for the purpose of submitting Content on behalf of others without such authorization. Unauthorized use of the Service by Posting Agents constitutes a violation of these Terms of Use and may result in suspension or termination of access, legal action, or other remedies deemed appropriate by Ketamine Therapy Wellness.

  1. No Spam Policy

You expressly agree not to use the Service or any Ketamine Therapy Wellness-related email address, system, or network to transmit unsolicited advertisements or promotional materials via email or other electronic means. The unauthorized use of Ketamine Therapy Wellness’s computing infrastructure, including the transmission of unsolicited communications, constitutes a material breach of these Terms of Use and may violate applicable state and federal laws, including but not limited to the Computer Fraud and Abuse Act (18 U.S.C. § 1030 et seq.). Ketamine Therapy Wellness reserves the right to investigate and take legal action against violators, including seeking civil remedies and reporting violations to appropriate law enforcement authorities.

  1. Paid Postings

Ketamine Therapy Wellness may charge fees for the placement of certain types of Content in designated areas of the Service. Such fees grant a limited license to access and utilize specific features of the Service and do not constitute a purchase of Content placement rights. The party submitting any paid Content is solely responsible for the accuracy, legality, and compliance of such Content with these Terms of Use. All fees paid are final and non-refundable, including in cases where the Content is removed by Ketamine Therapy Wellness due to violations of these Terms. Certain promotional offers or services may include a different refund policy, which will be explicitly stated in writing at the time of purchase. Absent such written terms, all payments are deemed non-refundable.

  1. Limitations on Service

You acknowledge and agree that Ketamine Therapy Wellness may, at its sole discretion, establish limitations regarding the use of the Service. Such limitations may include, without limitation: (i) the maximum number of days that Content will be retained on the Service; (ii) the maximum number or size of postings, messages, or other Content that may be transmitted or stored; and (iii) the frequency with which you may access the Service. Ketamine Therapy Wellness assumes no responsibility or liability for the deletion of, or failure to store, any Content transmitted to or maintained by the Service. Ketamine Therapy Wellness reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, and shall not be liable to you or any third party for any such modification, suspension, or discontinuance.

  1. Access to the Service

Ketamine Therapy Wellness grants you a limited, revocable, non-exclusive license to access and use the Service strictly for your personal, non-commercial use. This license does not include: (a) access by Posting Agents; or (b) any collection, aggregation, copying, duplication, display, or derivative use of the Service or its Content, nor any use of data mining, robots, spiders, or similar data gathering and extraction tools, unless expressly authorized in writing by Ketamine Therapy Wellness.

An exception to the foregoing is granted to general-purpose Internet search engines and non-commercial public archives that use such tools to gather information solely for the purpose of displaying hyperlinks to the Service, provided they do so from a stable IP address or range of IP addresses and use an easily identifiable agent in compliance with Ketamine Therapy Wellness’s robots.txt file. The term “general-purpose Internet search engine” does not include any website, search engine, or service that specializes in classified listings, or a subset thereof, or is in the business of providing classified advertising services.

You may not display individual postings from the Service or create hyperlinks to such postings on your website without prior express written consent from Ketamine Therapy Wellness. However, you may create a hyperlink to the homepage of Ketamine Therapy Wellness, provided that such link does not portray Ketamine Therapy Wellness, its affiliates, employees, or services in a false, misleading, derogatory, or otherwise offensive manner.

Ketamine Therapy Wellness may make portions of the Service available in RSS format. You may incorporate these RSS feeds into a personal website or blog, or view them using third-party RSS software, provided that: (a) such use is for personal, non-commercial purposes only; (b) each RSS item links back to the corresponding post on the Service; (c) appropriate attribution to Ketamine Therapy Wellness is clearly provided; (d) your use does not suggest Ketamine Therapy Wellness’s endorsement of any third-party content or services; (e) the RSS feed is not redistributed; and (f) your use does not place an undue burden on Ketamine Therapy Wellness’s infrastructure. Ketamine Therapy Wellness retains all rights to the RSS content and reserves the right to discontinue any RSS feed at any time.

Any use of the Service outside the scope of the license granted herein shall constitute unauthorized access and will result in the immediate revocation of your limited license. To engage in any commercial use of the Service or Content, or to collect, aggregate, copy, duplicate, display, or create derivative works for any purpose not expressly permitted, you must obtain a prior written license signed by an authorized representative of Ketamine Therapy Wellness.

  1. Termination of Service

You acknowledge and agree that Ketamine Therapy Wellness, in its sole discretion, reserves the right to suspend or terminate your access to the Service, or any portion thereof, at any time and for any reason, with or without notice. Such actions may include but are not limited to: deletion or deactivation of your account, blocking of your email address or IP address, or removal of any Content submitted by you. Ketamine Therapy Wellness shall not be liable to you or any third party for any such suspension or termination, including the deletion of any Content submitted to or maintained on the Service.

You further agree not to attempt to access or use the Service following such termination. The provisions of Sections 2 through 7 and 13 through 20 of these Terms of Use shall survive any termination of your access to the Service.

  1. Proprietary Rights

The Service and all materials contained therein are protected to the fullest extent permissible under applicable domestic and international copyright laws and treaties. All Content made available on or through the Service is protected as a collective work and/or compilation under applicable copyright law and international conventions.

Except as expressly permitted in writing by Ketamine Therapy Wellness, you may not reproduce, modify, create derivative works from, distribute, publicly display, publicly perform, or otherwise exploit any portion of the Service or its Content, in whole or in part. You are specifically prohibited from copying or transferring any portion of the Service or its Content to any other server or location for purposes of reproduction or redistribution. You agree not to reproduce, duplicate, or copy any Content from the Service without the prior express written permission of Ketamine Therapy Wellness and further agree to comply with all copyright notices or restrictions applicable to the Service.

You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software associated with the Service. Furthermore, you agree not to reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Service for any commercial purpose without the prior written authorization of Ketamine Therapy Wellness.

The names, logos, trademarks, service marks, and trade names (collectively, “Marks”) displayed on the Service are the proprietary property of Ketamine Therapy Wellness or its third-party licensors. You are not authorized to use any such Marks without the express written consent of Ketamine Therapy Wellness or the applicable rights holder. All rights and goodwill associated with such Marks remain the exclusive property of their respective owners.

Although Ketamine Therapy Wellness does not claim ownership of the Content submitted by users, by posting Content to any publicly accessible area of the Service, you automatically grant to Ketamine Therapy Wellness a non-exclusive, irrevocable, perpetual, royalty-free, worldwide license to use, reproduce, perform, display, distribute, and create derivative works of such Content, and to incorporate such Content into other works in any form, media, or technology now known or hereafter developed. You further grant Ketamine Therapy Wellness the right to sublicense the foregoing rights through multiple tiers of sublicenses.

By posting Content to any public area of the Service, you also grant Ketamine Therapy Wellness all rights necessary to prevent the unauthorized aggregation, copying, display, duplication, reproduction, or other exploitation of such Content by any third party for any purpose.

  1. Disclaimer of Warranties

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF KETAMINE THERAPY WELLNESS AND THE SERVICE IS ENTIRELY AT YOUR OWN RISK. THE SERVICE AND ALL CONTENT, INFORMATION, PRODUCTS, AND SERVICES PROVIDED THROUGH OR IN CONNECTION THEREWITH ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMISSIBLE BY LAW, KETAMINE THERAPY WELLNESS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF PROPRIETARY RIGHTS, SECURITY, RELIABILITY, TIMELINESS, ACCURACY, OR PERFORMANCE OF THE SERVICE.

WITHOUT LIMITATION TO THE FOREGOING, KETAMINE THERAPY WELLNESS MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING ANY INFORMATION, ADVICE, OR ADVERTISEMENTS OBTAINED THROUGH THE SERVICE OR THROUGH ANY LINKS PROVIDED ON THE SERVICE.

KETAMINE THERAPY WELLNESS EXPRESSLY DISCLAIMS ANY WARRANTIES FOR GOODS OR SERVICES RECEIVED THROUGH OR ADVERTISED ON THE SERVICE OR ACCESSED THROUGH ANY LINKS ON THE SERVICE, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES REGARDING THE DESCRIPTION, APPEARANCE, OR QUALITY OF ANY PRODUCT OR SERVICE.

KETAMINE THERAPY WELLNESS DOES NOT WARRANT THAT THE SERVICE OR THE SERVERS THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM KETAMINE THERAPY WELLNESSOR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

CERTAIN JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. TO THE EXTENT THAT SUCH EXCLUSIONS ARE NOT PERMITTED UNDER APPLICABLE LAW, SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU.

  1. LIMITATION OF LIABILITY

     

To the maximum extent permitted by applicable law, under no circumstances shall Ketamine Therapy Wellness, its affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever (including, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses), arising out of or in connection with: (a) your access to, use of, or inability to access or use the Ketamine Therapy Wellness website or the services provided therein; (b) any conduct or content of any third party on or related to the Service; or (c) any interruption, suspension, modification, alteration, or termination of the Ketamine Therapy Wellness website or the Service, whether such damages are based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Ketamine Therapy Wellness has been advised of the possibility of such damages.

This limitation shall apply equally to any damages arising from products or services received through or advertised in connection with the Ketamine Therapy Wellness or the Service, as well as from any information, content, or advice received through or advertised in connection with the Ketamine Therapy Wellness or the Service or any links provided therein.

Certain jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages; in such jurisdictions, some of the foregoing limitations may not apply to you.

 

  1. INDEMNIFICATION


You agree to defend, indemnify, and hold harmless Ketamine Therapy Wellness, its affiliates, subsidiaries, officers, directors, agents, service providers, suppliers, employees, successors, and assigns, from and against any and all claims, demands, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees and court costs), arising out of or relating to: (a) content you submit, post, transmit, or otherwise make available through the Service; (b) your use of the Service; (c) your violation of these Terms of Use (“TOU”); (d) your breach of any representations or warranties made herein; or (e) your violation of any rights of another

 

  1. GENERAL TERMS


These TOU, along with any supplemental terms and conditions applicable to particular features or services, constitute the entire agreement between you and Ketamine Therapy Wellness with respect to the subject matter herein and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, regarding such subject matter.

No waiver of any provision of these TOU shall be deemed a further or continuing waiver of such provision or any other provision, and the failure of Ketamine Therapy Wellness to assert any right or provision under these TOU shall not constitute a waiver of such right or provision.

If any provision of these TOU is found by a court of competent jurisdiction to be invalid or unenforceable, the parties agree that the court should endeavor to give effect to the parties’ intentions as reflected in such provision, and all other provisions shall remain in full force and effect.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Service or these TOU must be filed within one (1) year after such claim or cause of action arose or be forever barred.

  1. VIOLATION OF TERMS; LIQUIDATED DAMAGES

Violations of these Terms of Use (“TOU”) should be promptly reported via email to: [email protected].

Failure by Ketamine Therapy Wellness to enforce any provision of the TOU in response to a breach by you or any third party shall not constitute a waiver of Ketamine Therapy Wellness’s right to enforce such provision in connection with any subsequent or similar breach.

You acknowledge and agree that, due to the inherently difficult nature of quantifying damages resulting from certain violations of the TOU, the following liquidated damages are a fair and reasonable pre-estimate of actual damages suffered by Ketamine Therapy Wellness. Accordingly, in the event Ketamine Therapy Wellness initiates legal action to enforce the TOU due to your breach, and without limiting any other rights or remedies available to Ketamine Therapy Wellness under law or equity, you agree to pay the following amounts as liquidated damages:

  1. Impersonation and Misrepresentation
    If you post or transmit any content that (i) impersonates any person or entity; (ii) falsely states or otherwise misrepresents your affiliation with a person or entity; or (iii) includes personal or identifying information about another individual without their express consent, you shall be liable to Ketamine Therapy Wellness for liquidated damages in the amount of one thousand dollars ($1,000) for each such posting. This clause shall not apply to content that constitutes lawful, non-deceptive parody of public figures.
  2. Violation of Access Limits
    If Ketamine Therapy Wellness imposes limits on your use or access to the Service (whether temporal, quantitative, or otherwise), and you post content in excess of such limits or continue to access the Service following suspension or termination of your access, you agree to pay liquidated damages in the amount of one hundred dollars ($100) for each message posted or for each day during which you exceed such limits, whichever amount is greater.
  3. Unsolicited Communications
    If you transmit or cause to be transmitted any unsolicited email advertisements to any Ketamine Therapy Wellness email address or through any Ketamine Therapy Wellness computing infrastructure, you agree to pay liquidated damages in the amount of twenty-five dollars ($25) for each such unsolicited email.
  4. Content Violations
    For each individual item of content that you post in violation of the TOU (other than those violations described above), you agree to pay liquidated damages in the amount of one hundred dollars ($100) per item. Ketamine Therapy Wellness reserves the right, in its sole discretion, to issue a warning prior to the assessment of such damages.
  5. Posting Agents
    If you act as a “Posting Agent” (i.e., post content on behalf of another party) in violation of the TOU, in addition to any liquidated damages under Section 20(d), you agree to pay Ketamine Therapy Wellness one hundred dollars ($100) for each item of content so posted. The principal who retains or authorizes the Posting Agent shall also be deemed jointly and severally liable for such violations and agrees to pay an additional one hundred dollars ($100) for each item of content posted in violation of the TOU on its behalf.
  6. Unauthorized Exploitation of Content
    If you aggregate, display, copy, duplicate, reproduce, or otherwise exploit content from the Service (excluding your own content) without the prior express written permission of Ketamine Therapy Wellness, you agree to pay liquidated damages in the amount of three thousand dollars ($3,000) for each day on which you engage in such unauthorized activity.

Reservation of Rights
Notwithstanding any provision of this Section 20 or elsewhere in the TOU, Ketamine Therapy Wellness expressly reserves the right to pursue any and all other remedies available at law or in equity, including but not limited to injunctive relief (whether preliminary, permanent, or otherwise), specific performance, and the recovery of actual damages, in connection with any breach or threatened breach of the TOU.

  2. TERMS OF USE FOR ALL SERVICES
  3. General Overview
    Ketamine Therapy Wellness offers access to certain online programs and platforms (collectively, the “Programs”) for use by participating professionals (“Professionals”) and individuals seeking to obtain services or information about services (“Consumers”). The services performed or information provided in connection with such Programs shall collectively be referred to as the “Services.”

By utilizing the Programs, you acknowledge and agree to the following terms and conditions, which constitute a material inducement for Ketamine Therapy Wellness and its affiliates (collectively, the “Affiliates”) to provide access to such Programs:

    You acknowledge and agree that your use of the Programs is at your sole risk. Ketamine Therapy Wellness and its Affiliates expressly disclaim all warranties, express or implied, arising out of or relating to:
    a. the Programs;
    b. any Professional participating in the Programs;
    c. the Services rendered or to be rendered by any Professional.
  2. Limitation of Liability
    Ketamine Therapy Wellness’s total cumulative liability to you, for any claim arising out of or related to the Programs or Services, whether in contract, tort, or otherwise, shall not exceed twenty-five dollars ($25.00).
  3. Independent Relationships
    Ketamine Therapy Wellness and its Affiliates do not provide, and are not responsible for providing, any professional services. Ketamine Therapy Wellness is not a party to any agreement entered into between you and any Professional. All engagements, transactions, or communications between you and any Professional are strictly and exclusively between those parties.
  4. Severability
    If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the remaining provisions shall continue in full force and effect.

  1. Disclaimer of Warranties
    Professionals acknowledge and agree that use of the Programs is at their sole risk. Ketamine Therapy Wellness and its Affiliates disclaim any and all liability arising from or relating to:
    a. the Programs;
    b. any Consumer;
    c. the agreement between the Professional and any Consumer;
    d. any actions, omissions, negligence, or misconduct by the Professional or any agents, vendors, or contractors of either party.
  2. Limitation of Liability
    The total liability of Ketamine Therapy Wellness and its Affiliates to any Professional shall not exceed twenty-five dollars ($25.00) in the aggregate.
  3. Independent Engagements
    Ketamine Therapy Wellness is not a party to any engagement between a Consumer and a Professional. All agreements, representations, and obligations in such relationships are the sole responsibility of the respective parties.
  4. Severability
    If any term or condition set forth herein is held to be unenforceable, the remaining provisions shall remain in full force and effect.

  2. Legal Disclaimer
    By accessing or logging into your Ketamine Therapy Wellness account, you affirm and agree that you have full legal authority to represent the brand, its products, pricing, and all associated intellectual property. If you do not have such authority, or if you do not agree to be bound by the following terms, you must not access the account.
  3. Parties
    This Brand Agreement (“Agreement”) is entered into by and between the individual or entity identified herein (“you,” “your,” or the “Company”) and Ketamine Therapy Wellness (“Ketamine Therapy Wellness”). The parties agree to enter into this Agreement through electronic means.
  4. Content License
    You hereby grant Ketamine Therapy Wellness a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and distribute all content provided by you (the “Content”), including but not limited to images (e.g., logos, product photos, installation examples), product catalogues, and pricing information, for the purposes of display on the Ketamine Therapy Wellness platform and its affiliated websites, social media channels, email campaigns, and other promotional materials or websites as determined by Ketamine Therapy Wellness in its sole discretion.

You represent and warrant that:

  1. You own or have obtained all rights necessary to grant the license described herein;
  2. The Content is accurate, current, and representative of your offerings; and
  3. You will update your Ketamine Therapy Wellness account as needed to ensure continued accuracy of the Content.

Ketamine Therapy Wellness and its Affiliates assume no responsibility for any claims, damages, or losses arising from or related to the Content or its use.

  1. Fees
  1. Membership Fees: Membership pricing shall be as listed on Ketamine Therapy Wellness at the time of purchase. Fees are due in full at the start of each 30-day (monthly) or 365-day (annual) billing cycle, and will be automatically charged to the account on file unless canceled prior to renewal.
  1. Term and Termination
  1. Term: This Agreement shall remain in effect unless and until you cancel your membership.
  2. Non-Payment: If payment is not received due to an invalid or expired payment method, Ketamine Therapy Wellness may attempt to contact you for updated billing information and reserves the right to cancel your membership if payment is not received within thirty (30) days.
  3. Termination:
    • You may terminate this Agreement at any time, with termination effective at the end of the current billing cycle.
    • Ketamine Therapy Wellness may terminate this Agreement at any time for any reason. If such termination occurs without cause, and you are in full compliance with the Agreement, you will be entitled to a prorated refund for the unused portion of the billing cycle.
